SCOPE

We advise clients on the structuring and execution of strategic transactions and projects in the energy and sanitation sectors, as well as in other infrastructure segments. We combine experience in M&A, contracts, and project finance with deep knowledge of the administrative and regulatory environment to deliver integrated and reliable solutions.

M&A AND BUSINESS STRUCTURING

  • Advising on M&A transactions, including support in due diligence, drafting and negotiation of SPAs and MOUs;

  • Drafting and negotiation of construction agreements and major equipment supply contracts;

  • Advising on debt transactions, with experience in the issuance of CRIs, debentures, and commercial notes;

  • Drafting and negotiation of Power Purchase Agreements (PPAs);

  • Drafting and negotiation of financing, CPG, and guarantee agreements.

 

REGULATORY

  • Representation in administrative proceedings before ANEEL, ONS, and CCEE, including related litigation.

  • Assisting clients in technical meetings with ANEEL, ONS, and CCEE;

  • Participation in public consultations and hearings.
